Directors and officer’s insurance (D&O insurance) is designed to protect the directors and officers of a private and/or public company from claims alleging wrongful acts in their capacity as a company director or officer.Regulatory Investigations into a company’s acts are costly and another core reason why the D&O policies are purchased.
Claims may arise from a regulatory body, shareholders, competitors, employees, creditors, liquidators, etc.
Side A Coverage(Directors & Officers/Insured Persons)

The intent is to protect the individual directors and their personal assets and is the final protection if the company is unable to indemnify the Directors & Officers.
Side B Coverage(Company Re-Imbursement)
Insurance protection for the Company when they can indemnify a Director and/or Officer of the company, in the form of a reimbursement from the insurer. Most claims in Australia normally made via Side B of a D&O policy.
